Strategic Cooperation Protocol

concluded between

The Ministry of National Education of Romania

and

Cisco Systems International B.V.


Taking into consideration:
The Ministry of National Education in Romania has a strategy of modernizing the whole learning process at national scale, with emphasis on the broad access of pupils, students and professors to the new information technologies;

An important issue of the strategy of the Ministry of National Education is to provide all educational entities - universities, colledges, schools, etc. as well as scientific and cultural nonprofit organisation with communcations services and internet access, based on the Computer Network resource of the National Education in Romania - RoEduNet - as data communications infrastructure;
RoEduNet Service Provider is the public entity under the Ministry of National Education which operates, manages and maintains the data communications infrastructure RoEduNet. It is also the center of competence in the data communications area;

Cisco Systems Inc.is an American company with global leadership in the creation, design and production of highly sophisticated data communications systems and a leader in data and data/voice integration technology, with a long-term commitment into supporting the enhancement of the data and voice networks of educational and academic institutionsnetworks;

The Ministry of the National Education on behalf of the Gouvernment of Romania and as responsible entity for the quality and modernisation of the national education process, represented by RoEduNet Service Provider

and Cisco Systems International B.V., represented by its legal entity, CISCO SYSTEMS ROMANIA SRL,have agreed the following protocol of strategic cooperation:

Cooperation objectives

Participation of Cisco Systems though its Romanian office, represented by Cisco Systems Romania SRL in the process of definition of the strategy for the National Education concerning their IT system and mainly the RoEduNet communications infrastructure;

Participation of Cisco Systems in the activities related to the design and implementation of the IT infrastucture of the National Education;

Involvment of Cisco Systems in the know-how transfer related to project management, installation, maintenance and managment of complex data communications infrastuctures;

Cooperation of the parties in order to create a Competence Center for consultancy, technical support - having as goal the promotion of sofisticated technologies and Cisco products in Romania.

The creation, in cooperation, of a testing/evaluation centre for advanced technologies in data communications.

Cooperation of the parties to ensure an adequated technical level of the personnel implied in the mentioned projects.

Cooperation guidelines

In order to roll-out and meet the provisions of the present Protocol of Cooperation, the undersigning parties agree to form an Working Group composed by representatives nominated in equal number by each party.

The assignment of the the nominees will be effected within 30 days from the signature of the present Protocol.

The Working Group will meet on a frequent basis, at intervals no longer than 90 days, having as objective the review of the activities perfomed and setting correction elements that may be considered necessary.

Transitory and Final Provisions

The present Protocol of Cooperation will come into force at the date it is signed by both parties and is valid until termination by any of the parties but not earlier than 3 month from the written notification.

This Protocol sets forth a framework for the parties to guide their cooperative efforts but does not establish a contractual relationship or binding legal obligations and is not a commitment to buy or sell products. As a result neither party shall be liable for any claim or damages whatsoever, including any claim for consequential, indirect or consecutive damages. The only binding legal obligations shall be the subject of a separate agreement which the parties might enter into via their authorized representatives. There is no exclusivity or grant of any other license or right with respect to any work carried out by the parties in following up on this Protocol. Interpretation of this Protocol shall be governed by the laws of England, the courts of which shall have jurisdiction over any claim regarding this Protocol.

Concluded as of today __/__/1998, in four exemplars, two in English and two in Romanian, an exemplar in both languages for each party.
